Welcome to QRoom. These Terms of Service ("Terms") govern your access to and use of our QR code-based digital dialer system for hotels, including any associated mobile and web applications (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of a hotel, business, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
QRoom provides a QR code-based digital dialer system that allows hotel guests to connect with hotel services by scanning QR codes with their smartphones. The Service includes, but is not limited to:
3.1. Account Creation: To access certain features of the Service, hotel administrators and staff may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2. Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
3.3. Account Termination: We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to, violation of these Terms.
You agree not to use the Service to:
5.1. Our Rights: The Service and its original content, features, and functionality are owned by QRoom and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, create derivative works, publicly display, publicly perform, republish, or transmit any material from our Service without our prior written consent.
5.2. Your Content: You retain all rights to any content you submit, post, or display on or through the Service. By providing content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing and promoting the Service.
6.1. Fees: Hotels using our Service may be required to pay subscription fees. All fees are specified during the registration process or as otherwise communicated to you.
6.2. Payment: You agree to pay all fees in accordance with the payment terms. All payments are non-refundable unless otherwise specified or required by law.
6.3. Changes to Fees: We reserve the right to change our fees at any time. We will provide notice of any fee changes in advance.
7.1. Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
7.2. Limitation of Liability: IN NO EVENT SHALL QROOM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
You agree to defend, indemnify, and hold harmless QRoom and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
9.1. Service Modifications: We reserve the right to modify or discontinue, temporarily or permanently, the Service or any features or portions thereof without prior notice.
9.2. Terms Modifications: We may revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco, California, and you consent to the personal jurisdiction therein.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and QRoom regarding the Service and supersede all prior agreements and understandings, whether written or oral.
